INCREASE OF TOTAL NUMBER OF SHARES BASED ON SUBSCRIPTIONS WITH STOCK OPTIONS

The 64 900 new shares subscribed with stock options 2004A and 2004B in December 2008 pursuant to the stock option programme 2004 of Pöyry PLC have been registered in the Trade Register on 17 December 2008. Following these subscriptions, the registered total number of authorised shares increased to 58 878 602. The new shares will be joined to the old shares and will be available for public trading on the main list of NASDAQ OMX Helsinki on 18 December 2008.

The subscription period for stock options 2004A started on 1 March 2007 and will end on 31 March 2010. A total of 278 128 shares have been subscribed with stock options 2004A by 10 December 2008.

The subscription period for stock options 2004B started on 1 March 2008 and will end on 31 March 2011. A total of 121 628 shares have been subscribed with stock options 2004B by 10 December 2008.
