As explained in the explanatory notes to the meeting agenda, if the TomTom offer for all outstanding shares in Tele Atlas is declared unconditional, Mr. George Schmitt will have resigned as a member of the Supervisory Board effective as per the settlement date, a resignation accepted by the general meeting of shareholders in the extraordinary general meeting of shareholders held on 7 December 2007.
