Securitas Direct AB (publ) At the Annual General Meeting in Securitas Direct AB (publ) on 23 May 2008, the following was resolved:
Board of Directors The Annual General Meeting re-elected Board members Peter Nilsson (Chairman), Gunnar Asp, Harry Klagsbrun, Anna Lindström, Ulf Mattsson and Svante Östblom. Fees to the Board of Directors shall amount to a total of SEK 1,400,000 distributed to the effect that the Chairman of the Board shall receive SEK 400,000 and the other Board members elected by the General Meeting shall receive SEK 200,000 each.
Auditor The registered accounting firm Deloitte AB was elected new auditor by the Annual General Meeting. Lars Svantemark is auditor-in-charge. The auditor's fees shall be paid as per agreement.
Minority Auditor Holders of more than one-tenth of all shares in the company voted in favour of a minority shareholders' auditor appointed by the County Administrative Board participating in the audit together with the auditor elected by the General Meeting.
Resolution regarding Nomination Committee The Annual General Meeting resolved that no new Nomination Committee shall be appointed and that proposals on nomination and related remuneration matters from single shareholders can be submitted to: The Chairman of the Board, c/o Securitas Direct AB, Box 4519, SE-203 20 Malmö, Sweden.
Appropriation of profits In accordance with the proposal by the Board of Directors and the CEO, the Annual General Meeting resolved that the retained earnings together with the net profit for the year shall be carried forward.
Guidelines for remuneration to management The Annual General Meeting resolved to adopt guidelines for remuneration to management, principally entailing that salaries and other remuneration terms shall be on market conditions. In brief, the guidelines entail that management in addition to fixed salary also may receive variable remuneration, which shall have a predetermined cap and be based on the outcome in relation to the target of a number of financial and operational key ratios, and be determined separately for each executive.
